Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CameleonPro platform, including our websites, APIs, and mobile applications (collectively, the “Services”), provided by CameleonPro UG (haftungsbeschränkt) (“CameleonPro”, “we”, “us”, or “our”), a company incorporated under the laws of Germany.
By creating an account or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Definitions
- “Subscriber” — The organization (company, sole proprietor, or entity) that subscribes to CameleonPro
- “Organization” — A Subscriber's business entity registered on the platform
- “Fieldworker” — An individual who provides field services on behalf of a Subscriber
- “End Customer” — A customer of the Subscriber who interacts with the platform (e.g., booking services, viewing invoices)
- “User” — Any individual who accesses the Services, including Subscribers, Fieldworkers, and End Customers
- “Content” — Any data, text, images, documents, or other materials uploaded to or generated within the Services
2. Account Terms
To use CameleonPro, you must create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
Subscriber accounts may have multiple users with different roles (Owner, Manager, Fieldworker, Customer). The account owner is responsible for managing user access and permissions within their organization.
You must be at least 16 years of age to use the Services. Accounts registered by automated methods (bots) are not permitted.
3. Subscription and Billing
3.1 Plans and Pricing
CameleonPro offers tiered subscription plans with per-seat pricing. Current plans and pricing are available at cameleonpro.com/pricing. Features, quotas, and limitations vary by plan.
3.2 Free Trial
New Subscribers receive a 14-day free trial with full access to the selected plan. No credit card is required during the trial. At the end of the trial, access is suspended until a paid subscription is activated.
3.3 Billing Cycle
Subscriptions are billed monthly or annually, in advance, based on the number of active fieldworker seats. All payments are processed through Stripe. Prices are displayed exclusive of applicable taxes (VAT), which are calculated at checkout based on your jurisdiction.
3.4 Quotas
Each plan includes a monthly service request quota. You will receive notifications when you reach 80% and 100% of your quota. Exceeding your quota may limit your team's ability to accept new requests until the quota resets or you upgrade your plan.
3.5 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.
3.6 Failed Payments
If a payment fails, we will retry automatically and notify you. You have a 7-day grace period to update your payment method. After the grace period, your subscription may be suspended.
4. Data Ownership
Your data is yours. Subscribers retain full ownership of all Content uploaded to or generated within the platform, including customer records, booking data, invoices, chat messages, and all other business data.
CameleonPro acts as a data processor for Subscriber data, as detailed in our Data Processing Agreement. We process your data solely to provide and improve the Services.
You may export your data at any time through the platform's export features or by contacting support. We will provide your data in a standard, machine-readable format (CSV, JSON) within 10 business days of a request.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Provide, facilitate, or promote illegal services
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the platform or other users' accounts
- Scrape, crawl, or harvest data from the platform by automated means (except via our APIs within rate limits)
- Use the platform for unsolicited mass communications (spam)
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the platform
- Resell or redistribute the Services without our written consent
We enforce API rate limits to ensure fair usage. Exceeding rate limits may result in temporary access restrictions.
6. White-Label Branding
CameleonPro allows Subscribers to customize the customer-facing portal with their own branding (logo, colors, domain). This customization does not transfer any ownership of CameleonPro's intellectual property to the Subscriber.
Subscribers may present the portal to their customers under their own brand, subject to the following conditions:
- You may not claim to have developed the underlying platform technology
- You may not remove or obscure the “Powered by CameleonPro” attribution (where applicable per your plan)
- You are responsible for all content and branding elements you upload
7. Service Availability
We strive to maintain high availability of the Services, but we do not guarantee uninterrupted or error-free operation. The Services are provided on an “as is” and “as available” basis.
We may perform scheduled maintenance during low-traffic periods and will provide reasonable notice when possible. In the event of extended unplanned downtime, we will communicate status updates through our status page and email notifications.
We reserve the right to modify, suspend, or discontinue any feature of the Services with 30 days' notice, except in cases of security emergencies or legal requirements.
8. Cancellation and Termination
8.1 Cancellation by Subscriber
You may cancel your subscription at any time from the billing settings in the admin console. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Services until then. No refunds are issued for partial billing periods.
8.2 Data After Cancellation
After cancellation, your data is retained for 30 days. During this period, you may reactivate your account or request a data export. After 30 days, all data is permanently deleted in accordance with our Privacy Policy, except where longer retention is required by law (e.g., financial records).
8.3 Termination by CameleonPro
We may suspend or terminate your account if you:
- Materially breach these Terms and fail to cure the breach within 14 days of notice
- Use the Services for illegal activities
- Fail to pay subscription fees after the grace period
- Create risk or legal exposure for CameleonPro or other users
In the event of termination for cause, we will provide reasonable notice and an opportunity to export your data, except where prohibited by law.
9. Content and Intellectual Property
9.1 Your Content
You retain ownership of all Content you upload to the platform. By uploading Content, you grant CameleonPro a limited, non-exclusive license to process, store, and display your Content solely for the purpose of providing the Services.
9.2 CameleonPro's IP
The CameleonPro platform, including its source code, design, architecture, documentation, trademarks, and all associated intellectual property, remains the exclusive property of CameleonPro UG (haftungsbeschränkt). These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the platform without obligation to you.
10. Third-Party Services
The Services integrate with third-party providers including Stripe (payments), Keycloak (authentication), Mapbox (mapping), and Firebase (push notifications). Your use of these third-party services is subject to their respective terms and privacy policies.
CameleonPro is not responsible for the availability, accuracy, or conduct of third-party services. We do not endorse and are not liable for any loss or damage arising from your reliance on third-party services.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAMELEONPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CAMELEONPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if CameleonPro has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless CameleonPro, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your violation of any applicable law or third-party rights
- Content you upload to the platform
- Your organization's relationship with its customers and fieldworkers
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-platform notification. Non-material changes (clarifications, formatting) may be made without notice.
Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law provisions.
Any disputes arising from or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts of Berlin, Germany.
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and CameleonPro
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
- Force Majeure: Neither party is liable for delays or failures caused by events beyond their reasonable control
